MGP Ingredients has announced that its Luxco, Inc. subsidiary has acquired 100% of Penelope Bourbon LLC. Penelope Bourbon was founded in Roswell, New Jersey in 2018 by Michael Paladini and Daniel Polise.
Penelope Bourbon Sold for $215.8 Million Including Performance Incentives
Penelope Bourbon is a family and founder-owned and operated American Whiskey company with a diverse portfolio of high-quality whiskeys in the premium-plus price tiers. The acquisition includes all intellectual property and inventory of bottled product, as well as Penelope’s aging whiskey inventory on a debt-and-cash-free basis. The upfront consideration is $105.0 million in cash to be paid at closing, with further potential earn-out contingent consideration of up to a maximum cash payout of $110.8 million measured through December 31, 2025 if certain performance conditions are met, reflecting the brand’s current growth potential. Add it all up and it is a total acquisition price of $215.8 million.

- Transaction is anticipated to close in June 2023
The acquisition is expected to be financed using MGP’s existing revolving credit facility and cash on hand.

MGP Acquired Luxco in 2021
MGP Ingredients with headquarters in Atchison, Kansas announced it had acquired Luxco, Inc with headquarters in St. Louis, Missouri for $475 million in January 2021. In the distilling world the MGP is best known for their historic Lawrenceburg, Indiana distillery commonly referred to as the old Seagram’s Distillery. As a part of the acquisition of Luxco, MGP moved all its branded products under the Luxco subsidiary and soon thereafter renamed the Lawrenceburg distillery to Ross & Squibb Distillery.
Luxco Brands Now Operates 5 Distilleries
The Luxco brand umbrella now includes five distinct distilleries located in two US states, D.C and Mexico. The locations include Lux Row Distillers, Bardstown, Kentucky; Limestone Branch Distillery in Lebanon, Kentucky; Destiladora González Lux, producer of tequilas in Jalisco, Mexico; Green Hat Distillery in Washington, D.C. and Ross & Squibb Distillery in Lawrenceburg, Indiana.
